I understand the route you want to take is to surrender the lease thereby removing the current restriction on the flat and take a new lease which you would rent out to a new party. Before this can be done the existing tenant (porter) would need to vacate the flat concerned which I believe will be 30 September 2018. Good morning Mr. Haggis,
How are you? We are writing to you because we understand you are taking over our case from Mr. Khalid.
Following Mr. Khalid advice we would like you to proceed with the option 2 of the lease change proposals.
See extract from Mr. Khalid email:
I believe there are two options available:
1. The management company grants an Assured Shorthold Tenancy to a new tenant. However, because there is a the limitation on use within the current lease (ie. for use by caretaker only)- the management company and the freeholder company will have to enter into a deed of variation to remove the restriction on use. This is a simple one/two page document.
2. The management company and the freeholder company can agree a surrender of the lease- this would mean the title reverts to the freeholder company. The freeholder company would then be free to either (i) grant a new lease to the management company without the restriction; (ii) sell the lease to a willing buyer- this would raise significant funds for the freeholder; or (iii) the freeholder company finds a tenant to rent the property to on an assured shorthold basis.

As you can see from the previous exchange of emails with Mr. Khalid and Ms. Oraka, at present the apartment’s lease contemplates that should be solely used for the porter`s lodgement. From the 30th September 2018, the position of in residence porter is redundant. Therefore by that date, the porter is not anymore employed by the company and should vacate the apartment.
The directors would like to proceed with the lease variation ASAP. It would be great if you and Ms. Oraka could coordinate how to proceed since the redundancy case is still ongoing.
In your opinion, it would be possible to change it before the 30th of September? It would be possible to change it in case the porter, despite his redundancy agreement, doesn`t vacate the premises? Etc.
Following Mr. Khalid recommendation (see Report on Title attached), we also would like to change the lease registered address. Please, could you advise us if this can be done immediately and how?
For your convenience, we attach rradar’s Report on Tile related to the property.

We could hold onto the documents for you. I spoke to my colleague Stuart Ashall yesterday afternoon and I understand he will drop you a line as to confirm what you will now require from rradar regarding Mr. Ball and Andrew Farqhuar. We discussed that it may be the case that we have to instruct forensic accountants to assist.
Regarding a company secretary, Mark Fairweather would quite happily agree to resign from the position. Rradar Limited is unable to act as the company secretary as the position, under companies law, carries liabilities for failure to perform the obligations/duties- these duties are akin to those of a director and therefore it is felt that these have an inherent risk because the firm is not actively involved in running the company.
Under the Companies Act, 2006, there is no legal requirement for a company to appoint a company secretary. If you wish to retain the post of the company secretary, you could appoint one of yourselves to be formally appointed- the actual day to day duties such as filing, preparing notices etc could be undertaken by a firm of accountants or solicitors. Rradar can act for you on this basis and I am sure Robert Haggis will be happy to act on this basis. Additionally, I am sure Robert will happily act for you as the company's solicitor.
